SEO work is one of those industries that has a wide variety of reputations. It is a very legitimate industry but unfortunately it has a lot of illegitimate people and companies out there. This is because of many reasons - here are just a few:

Misguided Enthusiasm – which is a diplomatic way of saying “Con-Artists.” The reality is that there are millions of people that think SEO work is simply adding some code to your template, placing white letters on white backgrounds, buying links form anyone and placing a few videos on your site. Unfortunately they become targets of these enthusiastic individuals and companies. In fact, most of those things will hurt your chances more than help.

2. Forum Experts - There are many legitimate companies that make to mistake of follow the many SEO Forums that are there to "Inform" you about SEO. The challenge there is that anyone can post anything no matter how right or wrong the information is. This is when Spamming techniques sound "Legitimate." They usually aren't. Its just that people start to see it on different forums that it begins to look and sound legitimate. Again, they usually are not.

3. Over Optimistic - There are many companies that are over optimistic when it comes to their abilities. If you have a 4-Cylnder Site and are trying to stay in the race, there's probably not much they can do for you. The down side is that you probably will get talked into a 6 month contract (because that's usually how long it takes to start seeing SEO results) and after spending all that time and money you see nothing and fire them - but you're still out all that money.
